STARCAM TERMS OF USE STARCAM(R) - 2026 (Last Update: March 27, 2026) PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING THE PLATFORM. BY ACCESSING OR USING THE STARCAM PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE PLATFORM. 1. ACCEPTANCE OF TERMS AND ELIGIBILITY 1.1 Agreement. These Terms of Use ("Terms") constitute a legally binding agreement between You ("You," "Your," or "User") and StarCam, Inc., a California corporation ("StarCam," "we," "us," or "our"). These Terms govern Your access to and use of the StarCam platform, website at starcam.com, mobile applications, and all related services, features, content, and functionality (collectively, the "Platform"). 1.2 Eligibility. You must be at least eighteen (18) years of age to create an account or use the Platform. If You are between the ages of thirteen (13) and seventeen (17), You may use the Platform only with the verified consent of a parent or legal guardian who agrees to be bound by these Terms on Your behalf. The Platform is not intended for children under the age of thirteen (13), and StarCam does not knowingly collect personal information from children under thirteen (13). If we learn that we have collected personal information from a child under thirteen (13), we will promptly delete such information. 1.3 Acceptance Methods. You accept these Terms by: (a) clicking "I Agree" or a similar button when presented with these Terms; (b) creating a StarCam account; or (c) accessing or using any part of the Platform. If You are accepting these Terms on behalf of an entity, You represent and warrant that You have the authority to bind such entity. 2. DESCRIPTION OF SERVICE 2.1 Platform Overview. StarCam provides a platform that enables Users to interact with hosts and talent ("Hosts") through live video chat sessions powered by patented StarChat(R) technology, AI-powered avatar interactions ("Avatar Interactions"), and other interactive features as may be offered from time to time. Some features require the purchase of credits or payment of fees as described herein. 2.2 Service Modifications. StarCam reserves the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice, and without liability to You. StarCam shall not be liable to You or any third party for any modification, suspension, or discontinuation of the Platform. 2.3 Service Availability. StarCam does not guarantee that the Platform will be available at all times or that it will be uninterrupted, timely, secure, or error-free. You acknowledge that the Platform may be subject to limitations, delays, and other problems inherent in the use of the Internet, electronic communications, and third-party service providers. 3. USER ACCOUNTS 3.1 Registration. To access certain features of the Platform, You must create an account. You agree to: (a) provide accurate, current, and complete information during registration and at all times thereafter; (b) maintain and promptly update Your account information to keep it accurate, current, and complete; (c) maintain the security and confidentiality of Your login credentials and accept all risks of unauthorized access to Your account and all activity that occurs under it; and (d) immediately notify StarCam at support@starcam.com if You discover or suspect any security breach or unauthorized use of Your account. 3.2 Account Responsibility. You are solely responsible for all activity that occurs under Your account, whether or not authorized by You. StarCam shall not be liable for any loss or damage arising from Your failure to maintain the confidentiality of Your login credentials. 3.3 Account Termination. StarCam reserves the right to suspend or terminate Your account at any time, for any reason or for no reason, with or without notice, and without liability to You. Reasons for termination may include, but are not limited to, violation of these Terms, suspected fraudulent activity, prolonged inactivity, or requests from law enforcement. Upon termination, Your right to use the Platform immediately ceases, and any unused credits in Your account shall be forfeited except as required by applicable law. 4. CREDITS, PAYMENTS, AND REFUNDS 4.1 Credit System. The Platform uses a credit-based system for accessing certain features. "Non-Promotional Credits" may be purchased through the Platform in various packages at prices displayed at the time of purchase. "Promotional Credits" may be distributed by StarCam from time to time for promotional purposes, have no cash value, may not be redeemed for cash, and may expire or be revoked at StarCam's sole discretion. 4.2 In-App Purchases. All credit purchases made through mobile applications are processed by the applicable app store (Apple App Store, Google Play Store) and are subject to the terms, conditions, and refund policies of that app store. StarCam does not process payment information for in-app purchases and has no obligation to provide refunds for in-app purchases except as required by the applicable app store's policies or applicable law. 4.3 Other Purchases. Credit purchases made through the StarCam website or other non-app-store channels are processed by StarCam's third-party payment processors. All such purchases are final and non-refundable except as required by applicable law. StarCam does not store complete credit card numbers or financial account information on its servers. 4.4 Pricing. StarCam reserves the right to change pricing for credits and features at any time without prior notice. Price changes will not affect credits already purchased. 4.5 Chargebacks. If You initiate a chargeback or payment dispute with Your bank, credit card company, or app store, StarCam reserves the right to immediately suspend Your account and pursue recovery of the disputed amount, plus any associated fees and costs, through all available legal remedies. 5. AI AVATAR INTERACTIONS 5.1 Nature of AI Avatars. The Platform may feature AI-powered avatars that are digital representations associated with Hosts. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT: (a) AI Avatars are computer-generated digital representations and are NOT the actual Host; (b) AI Avatar responses are generated by artificial intelligence technologies and may not accurately reflect the actual views, opinions, knowledge, or personality of the Host they represent; (c) You should not rely on any AI Avatar response as a factual statement, professional advice, or personal communication from the Host; (d) AI Avatars may produce responses that are inaccurate, incomplete, inappropriate, or inconsistent; and (e) Your interaction with an AI Avatar does not create any personal, professional, or contractual relationship with the Host. 5.2 Placeholder Avatars. Some avatars on the Platform may be identified as "Placeholder Avatars." Placeholder Avatars are non-monetized technology demonstrations created from existing StarCam-produced content. Placeholder Avatars are not authorized, endorsed, or controlled by the individual whose likeness they may represent. Placeholder Avatars are provided solely to demonstrate the Platform's technology capabilities. 5.3 Assumption of Risk. YOU ASSUME ALL RISK ASSOCIATED WITH YOUR INTERACTIONS WITH AI AVATARS, INCLUDING ANY RELIANCE ON AI-GENERATED CONTENT. STARCAM DISCLAIMS ALL LIABILITY FOR ANY DAMAGES ARISING FROM YOUR USE OF OR RELIANCE ON AI AVATAR INTERACTIONS, INCLUDING BUT NOT LIMITED TO EMOTIONAL DISTRESS, FINANCIAL LOSS, OR REPUTATIONAL HARM. 5.4 Recording Prohibition. You may not record, capture, screenshot, screen-record, or otherwise reproduce any AI Avatar Interaction or live StarChat session, in whole or in part, by any means, without the prior written consent of StarCam and the applicable Host. Violation of this provision may result in immediate account termination and may subject You to civil and criminal liability. 6. USER CONDUCT AND PROHIBITED ACTIVITIES 6.1 General Conduct. You agree to use the Platform only for lawful purposes and in accordance with these Terms. You shall not use the Platform in any manner that could damage, disable, overburden, or impair the Platform or interfere with any other party's use of the Platform. 6.2 Prohibited Activities. You agree not to, and shall not permit any third party to: (a) use the Platform for any illegal, fraudulent, or unauthorized purpose; (b) harass, threaten, stalk, intimidate, defame, or abuse any Host, User, or StarCam personnel; (c) upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, tortious, defamatory, libelous, vulgar, obscene, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable; (d) impersonate any person or entity, or falsely state or otherwise misrepresent Your identity, age, or affiliation with any person or entity; (e) attempt to gain unauthorized access to any portion of the Platform, other accounts, computer systems, or networks connected to the Platform; (f) use any robot, spider, scraper, crawler, or other automated means to access the Platform for any purpose without StarCam's express prior written permission; (g) record, capture, screenshot, or redistribute any live interaction, Avatar Interaction, or any other content from the Platform without the express written consent of StarCam and the applicable Host; (h) attempt to reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive the source code of, or any algorithms, data structures, or proprietary information contained in, any AI Avatar models, voice models, or other proprietary technology of the Platform; (i) use the Platform to transmit any viruses, worms, defects, Trojan horses, or any items of a destructive nature; (j) interfere with or circumvent any security feature of the Platform; (k) use credits or the Platform for money laundering, terrorist financing, or other financial crimes; (l) create multiple accounts for deceptive or abusive purposes; or (m) encourage or enable any other individual to do any of the foregoing. 6.3 Enforcement. StarCam reserves the right, but has no obligation, to investigate and take appropriate action against anyone who, in StarCam's sole discretion, violates this section, including without limitation, removing content, suspending or terminating the offending User's account, and reporting such User to law enforcement authorities. 7. INTELLECTUAL PROPERTY 7.1 StarCam's Rights. All content, features, and functionality of the Platform, including but not limited to the visual design, text, graphics, logos, icons, trademarks, service marks, trade names, images, audio clips, video clips, data compilations, page layout, underlying code, software, AI models, voice models, avatar technology, patented technologies, and all other intellectual property (collectively, "StarCam Materials"), are the exclusive property of StarCam or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. StarCam's patents cover, among other things, the interactive video chat technology, question queue management, and dynamic audience interaction features of the Platform. 7.2 Limited License. Subject to these Terms, StarCam grants You a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for Your personal, non-commercial purposes. This license does not include the right to: (a) modify, copy, or make derivative works of the Platform or any StarCam Materials; (b) sublicense, sell, resell, transfer, assign, distribute, or otherwise commercially exploit or make available to any third party the Platform or any StarCam Materials; (c) reverse engineer, decompile, or disassemble any software or technology used in the Platform; or (d) use any data mining, robots, or similar data gathering or extraction methods on the Platform. 7.3 User Content. By uploading, posting, or submitting any content to the Platform ("User Content"), You grant StarCam a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to use, reproduce, modify, distribute, display, and perform such User Content in connection with the Platform and StarCam's business, including for promotional purposes, in any media now known or hereafter developed. You represent and warrant that You own or have all necessary rights, licenses, and permissions to grant the foregoing license and that Your User Content does not infringe the intellectual property, publicity, privacy, or other rights of any third party. 7.4 DMCA Policy. StarCam respects the intellectual property rights of others and expects Users to do the same. If You believe that any content on the Platform infringes Your copyright, You may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA") by providing our designated copyright agent with the following information in writing: (a) a physical or electronic signature of the copyright owner or a person authorized to act on their behalf; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material that is claimed to be infringing and information reasonably sufficient to permit StarCam to locate the material; (d) Your contact information, including Your address, telephone number, and email address; (e) a statement that You have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (f) a statement that the information in the notification is accurate and, under penalty of perjury, that You are authorized to act on behalf of the copyright owner. StarCam's designated copyright agent can be reached at legal@starcam.com. StarCam may terminate the accounts of repeat infringers. 7.5 Feedback. If You provide StarCam with any feedback, suggestions, ideas, or recommendations regarding the Platform ("Feedback"), You hereby assign to StarCam all right, title, and interest in and to such Feedback, and StarCam shall be free to use, disclose, reproduce, and otherwise exploit such Feedback without restriction or obligation to You. 8. PRIVACY Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, You consent to the collection, use, and disclosure of Your information as described in the Privacy Policy. Please review the Privacy Policy carefully to understand our practices. 9. THIRD-PARTY SERVICES AND LINKS The Platform may contain links to or integrations with third-party websites, services, or content that are not owned or controlled by StarCam. StarCam has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that StarCam shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such websites or services. 10. DISCLAIMER OF WARRANTIES THE PLATFORM AND ALL CONTENT, FEATURES, FUNCTIONALITY, AND SERVICES PROVIDED THROUGH THE PLATFORM ARE PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS, WITHOUT ANY REPRESENTATION OR WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STARCAM DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. WITHOUT LIMITING THE FOREGOING, STARCAM MAKES NO WARRANTY THAT: (A) THE PLATFORM WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (B) THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM USE OF THE PLATFORM WILL BE ACCURATE, RELIABLE, OR COMPLETE; (D) THE QUALITY OF ANY CONTENT, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH THE PLATFORM WILL MEET YOUR EXPECTATIONS; (E) ANY AI AVATAR WILL ACCURATELY REPRESENT THE VIEWS, PERSONALITY, OR IDENTITY OF THE HOST IT IS ASSOCIATED WITH; OR (F) ANY ERRORS IN THE PLATFORM WILL BE CORRECTED. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM STARCAM OR THROUGH THE PLATFORM SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. 11. LIMITATION OF LIABILITY 11.1 Exclusion of Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STARCAM, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, RESULTING FROM: (A) YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE PLATFORM; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM, INCLUDING BUT NOT LIMITED TO ANY HOST, USER, OR AI AVATAR; (C) ANY CONTENT OBTAINED FROM THE PLATFORM, INCLUDING AI-GENERATED CONTENT; (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS, CONTENT, OR ACCOUNT; (E) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE PLATFORM; OR (F) ANY OTHER MATTER RELATING TO THE PLATFORM, EVEN IF STARCAM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 11.2 Aggregate Liability Cap. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STARCAM'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED DOLLARS ($100.00 U.S.); OR (B) THE TOTAL AMOUNT YOU HAVE ACTUALLY PAID TO STARCAM IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. 11.3 Basis of the Bargain. YOU ACKNOWLEDGE AND AGREE THAT STARCAM HAS OFFERED THE PLATFORM, SET ITS PRICES, AND ENTERED INTO THESE TERMS IN RELIANCE UPON THE DISCLAIMERS OF WARRANTY AND THE LIMITATIONS OF LIABILITY SET FORTH HEREIN, THAT THE SAME REFLECT A REASONABLE AND FAIR ALLOCATION OF RISK BETWEEN YOU AND STARCAM, AND THAT THE SAME FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND STARCAM. STARCAM WOULD NOT BE ABLE TO PROVIDE THE PLATFORM TO YOU ON AN ECONOMICALLY REASONABLE BASIS WITHOUT THESE LIMITATIONS. 11.4 Jurisdictional Limitations. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITIES. IF YOU RESIDE IN SUCH A JURISDICTION, SOME OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU, IN WHICH CASE STARCAM'S LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW IN SUCH JURISDICTION. 12. INDEMNIFICATION You agree to indemnify, defend, and hold harmless StarCam, its parent company, affiliates, subsidiaries, and their respective officers, directors, employees, agents, licensors, service providers, successors, and assigns (collectively, the "StarCam Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees and costs of investigation) arising out of or in any way connected with: (a) Your access to or use of the Platform; (b) Your User Content; (c) Your violation of these Terms; (d) Your violation of any applicable law, rule, or regulation; (e) Your violation of any third-party right, including any intellectual property, publicity, confidentiality, property, or privacy right; (f) any claim that Your User Content caused damage to a third party; or (g) any misrepresentation made by You. This indemnification obligation shall survive the termination of these Terms and Your use of the Platform. 13. DISPUTE RESOLUTION AND BINDING ARBITRATION PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND YOUR RIGHT TO A JURY TRIAL. 13.1 Informal Resolution. Before initiating any formal dispute resolution proceeding, You agree to first contact StarCam at legal@starcam.com and attempt to resolve the Dispute informally for at least thirty (30) days. If the Dispute is not resolved within thirty (30) days, either party may proceed as set forth below. 13.2 Agreement to Arbitrate. You and StarCam agree that any dispute, claim, or controversy arising out of or relating to these Terms, Your use of the Platform, or the relationship between You and StarCam (collectively, "Disputes"), whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, shall be resolved exclusively through final and binding individual arbitration administered by JAMS pursuant to its Streamlined Arbitration Rules and Procedures then in effect, rather than in court, except that either party may seek injunctive or other equitable relief in court to prevent the actual or threatened infringement or misappropriation of intellectual property rights, and either party may bring individual claims in small claims court if the claims qualify. This agreement to arbitrate is governed by the Federal Arbitration Act, 9 U.S.C. Sections 1-16. 13.3 Arbitration Procedures. The arbitration shall be held in Los Angeles County, California, unless You and StarCam agree otherwise or the arbitrator determines that such venue would be unreasonably burdensome to You, in which case the arbitrator may designate an alternative venue. The arbitrator shall apply California substantive law (or federal law where applicable) without regard to conflict-of-law principles. The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. 13.4 CLASS ACTION WAIVER. YOU AND STARCAM AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. IF THIS CLASS ACTION WAIVER IS FOUND TO BE UNENFORCEABLE, THEN THE ENTIRETY OF THIS ARBITRATION PROVISION (EXCEPT FOR THE JURY TRIAL WAIVER BELOW) SHALL BE NULL AND VOID. 13.5 JURY TRIAL WAIVER. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IF FOR ANY REASON A DISPUTE PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU AND STARCAM EACH KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM. 13.6 Opt-Out Right. You may opt out of this arbitration and class action waiver provision by sending written notice to StarCam at legal@starcam.com within thirty (30) days of first accepting these Terms. The notice must include Your full name, account username, mailing address, and a clear statement that You wish to opt out of binding arbitration. If You opt out, all other provisions of these Terms will continue to apply to You, and neither You nor StarCam will be precluded from seeking remedies in court. 13.7 Survival. This dispute resolution and arbitration provision shall survive any termination of these Terms or Your account. 14. GOVERNING LAW AND JURISDICTION These Terms shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law provisions, except to the extent preempted by federal law (including the Federal Arbitration Act). To the extent that any Dispute is permitted to proceed in court (whether due to a valid opt-out of arbitration, the class action waiver being found unenforceable, or any other reason), You and StarCam consent to the exclusive personal jurisdiction and venue of the state and federal courts located in Los Angeles County, California, and You waive any objection to such jurisdiction and venue on grounds of inconvenient forum or otherwise. 15. MODIFICATIONS TO TERMS StarCam reserves the right to modify, amend, or update these Terms at any time and in its sole discretion. Material changes will be communicated by: (a) posting the revised Terms on the Platform with an updated "Last Update" date; and/or (b) sending notice to the email address associated with Your account; and/or (c) displaying a prominent notice within the Platform or mobile applications. Your continued use of the Platform after the effective date of any modifications constitutes Your binding acceptance of the revised Terms. If You do not agree to the revised Terms, You must discontinue Your use of the Platform and close Your account. It is Your responsibility to review these Terms periodically. 16. GENERAL PROVISIONS 16.1 Entire Agreement. These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the sole and entire agreement between You and StarCam with respect to the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Platform. 16.2 Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent of the parties, and the remaining provisions shall continue in full force and effect. 16.3 No Waiver. No failure or delay by StarCam in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or remedy preclude any other or further exercise thereof or the exercise of any other right, power, or remedy. Any waiver of any provision of these Terms must be in writing and signed by StarCam to be effective. 16.4 Assignment. You may not assign, delegate, or transfer these Terms or any of Your rights or obligations hereunder, in whole or in part, by operation of law or otherwise, without the prior written consent of StarCam. Any attempted assignment without such consent shall be null and void. StarCam may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns. 16.5 Force Majeure. StarCam shall not be liable for any failure or delay in performing any obligation under these Terms where such failure or delay results from any cause that is beyond StarCam's reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, government actions or orders, war, terrorism, riot, cyberattack, power failure, Internet or telecommunications failure, or the failure of any third-party service provider. 16.6 Electronic Communications Consent. By creating an account or using the Platform, You consent to receive electronic communications from StarCam, including emails, push notifications, and Platform messages. You agree that all agreements, notices, disclosures, and other communications that StarCam provides to You electronically satisfy any legal requirement that such communications be in writing, pursuant to the Electronic Signatures in Global and National Commerce Act (E-SIGN Act), 15 U.S.C. Section 7001 et seq., and applicable state law. 16.7 Notices. All notices or other communications to StarCam under these Terms shall be sent to: StarCam, Inc., Attn: Legal Department, via email at legal@starcam.com. Notices to You shall be sent to the email address associated with Your account or through the Platform. Notices shall be deemed received upon transmission if by email, or upon posting if through the Platform. 16.8 No Third-Party Beneficiaries. These Terms are for the sole benefit of You and StarCam and do not confer any rights, remedies, obligations, or liabilities upon any person or entity other than You and StarCam, except that the StarCam Parties are intended third-party beneficiaries of the indemnification and limitation of liability provisions. 16.9 Headings. The section headings in these Terms are for convenience only and shall not affect the interpretation of these Terms. 16.10 Relationship of Parties. Nothing in these Terms shall be construed to create a joint venture, partnership, employment, or agency relationship between You and StarCam. You have no authority to bind StarCam in any respect. 17.
