STARCAM HOST/TALENT TERMS OF USE STARCAM(R) - 2026 (Last Update: March 27, 2026) ACCEPTANCE OF TERMS This StarCam Host/Talent Terms of Use (the "Addendum"), is an addendum to the StarCam Website Terms of Use (the "Terms"), which are incorporated by reference herein, and is entered into between You, a StarCam Host, and StarCam, Inc. ("StarCam"). The capitalized terms used in this Addendum shall have the same definitions as the capitalized terms used in the Terms. In the event of any ambiguities or discrepancies between any provision in this Addendum and the Terms, the provision in this Addendum is superior and shall prevail. THE TERMS AND THIS ADDENDUM GOVERN YOUR USE OF THE PLATFORM AND ALL PARTICIPATION AND MERCHANDISING ON AND THROUGH THE PLATFORM AS A STARCAM HOST. THIS ADDENDUM CREATES A LEGALLY BINDING AGREEMENT BETWEEN YOU AND STARCAM. YOU SHOULD READ THIS ADDENDUM CAREFULLY BEFORE AGREEING TO BE BOUND BY THE TERMS AND CONDITIONS HEREIN. Your viewing, use, participation or merchandising on the Platform constitutes Your agreement to abide by the provisions of the Terms and this Addendum. HOST INCOME Depending upon the StarCam StarChat event and the StarCam Host participating in such event, and/or other Platform Services in which a StarCam Host may participate, at StarCam's sole discretion, different User billing methods may be employed as follows: For some StarChat events, a one-time charge or per event fee ("Event Fee") may be employed. When an Event Fee is employed for Users to participate in a StarCam StarChat with a StarCam Host, fifty percent (50%) of total revenue will be retained by StarCam and fifty percent (50%) will become part of the "Host Income Distribution" (defined below less fees and contributions as indicated). For other StarChat events and revenue generating features, a per minute/per User fee may be employed ("Per Minute Fee"). When a Per Minute Fee is employed, You shall establish how much the Per Minute Fee is for Your StarCam Host Participation-revenue generating features that You utilize in Your "Host Participation" (defined below). You are free to set Your Per Minute Fee for each Host Participation feature at any amount, subject to the fees payable to StarCam. You establish Your Per Minute Fee for StarChat sessions and other Host Participation features which may be available from time to time. The Per Minute Fee, or any other fees either established by You or StarCam, are an approximation of the fees actually received as StarCam converts all fees into the nearest "Non-Promotional Credit" equivalents. You acknowledge and accept that the actual fees received may vary as a result of this cash to credits/credits to cash conversion. When the Per Minute Fee billing method is employed, for each User engaging in a StarChat session with You, StarCam is to be paid ten cents ($0.10) per minute/per User, OR, fifty percent (50%) of the Per Minute Fee for each User established by You, whichever is greater ("StarCam Minimum(s)"), and which shall be paid directly from Users' accounts to StarCam. The Per Minute Fee revenues for each User, OR, if greater, fifty percent (50%) of the total Per Minute Fee revenues, minus the StarCam Minimum, shall equal the net host income ("Net Host Income"). You should therefore consider establishing StarChat Fees, whether in the form of a flat-rate Entrance Fee or a per-minute Bit-rate, that will equate to no less than five (5) cents ($0.05) per minute if you wish to generate income for Yourself through Host Participation. The recommended StarCam Per Minute Fee for StarChat and other Host Participation features that may be available from time to time are suggestions only. When and where applicable, You are free to establish Your own Per Minute Fee. StarCam Minimums are subject to revision from time to time per the "Modification of Terms" provision herein. You should consider adjusting Your Per Minute Fee relative to any revision to the StarCam Minimums. If no revenue is generated as a result of Your Host Participation, no income will be earned or due You or StarCam. StarCam is assessed a service fee on revenues generated from your Host Participation ("Service Fee") by Third Party organizations such as Apple, Inc. and Google, LLC, as processing fees, and/or other App Store or payment processing administrative costs. The Service Fee percentage varies based on the third party platform through which the transaction is processed and is subject to change based on the policies of such third parties. For one example of a Host Income Distribution, the funds You will realize from a StarCam StarChat session that You conduct, is therefore 50% of the remainder, (hereinafter referred to as the "Gross Collections") after any Service Fees payable by StarCam to, or deducted by, any third party App Store or payment processor. Therefore Your Net Host Income is equal to fifty-percent (50%) of the Gross Collections ("Host Income Distribution") after any/all applicable Service Fees. Additional fees may be generated through Users pledging Non-Promotional Credits during a StarCam StarChat event to raise their question in the question queue ("Pledge Fees"). If Pledge Fees generate revenues during a StarChat event, fifty percent (50%) of revenues generated by Pledge Fees will become part of the Host Income Distribution less fees as indicated. For some Host Participation events, whether revenues are generated employing Event Fees or Per Minute Fees, at StarCam's sole discretion, StarCam may require an "Entrance Fee(s)" for Users to participate. "Non-Promotional Credits" are offered in a variety of packages available for purchase by Users on the Platform. "Promotional Credits" may be received through promotion or incentive programs sponsored by StarCam from time to time and have no cash value. StarChat and certain features of the Platform may or may not be available to Users using Promotional Credits. If, in StarCam's discretion, Promotional Credits are allowed to be used during some Host Participation features conducted by You, then, neither You nor StarCam shall receive any income from the use of such Promotional Credits. StarCam will limit the use of Promotional Credits by Users and for some features may exclude their use. Promotional Credits may be used for promotional and marketing efforts for the benefit of StarCam and Yourself and include, by way of example and not limitation: (a) use by employees, agents and affiliates of StarCam; (b) allocated by StarCam for use by advertisers, sponsors, or their affiliates for the purposes of soliciting advertising and/or sponsorship sales related to the StarCam Platform, the promotion of a StarCam Host event, or for the general marketing of the Platform and its services; and (c) use by other StarCam Hosts. You and StarCam shall be responsible, separately and independently, for any and all federal, state, and local taxes due on the income earned by each party as a result of the revenues generated by Your Host Participation. You shall be responsible for providing all expenses (travel or other) associated with Your Host Participation on the Platform. Unless otherwise provided for herein or by separate agreement, in the event that StarCam provides You with any equipment or expenses for Your use in participating in services on the Platform, the actual cost of such equipment or expenses may be deducted from any amounts due to You in StarCam's sole discretion. You acknowledge and agree that StarCam shall not be liable to You for any damages, losses, or claims, including but not limited to, lost income, for any service, connectivity or business interruption as a result of system maintenance or other technical limitations. AI AVATAR CREATION AND USE Definitions. For the purposes of this section, "AI Avatar" means a digital representation of Your likeness, voice, mannerisms, and/or personality created using artificial intelligence, machine learning, or similar technologies, trained on Content You provide, Content created during Your Host Participation, or Content otherwise owned or licensed by StarCam. "Avatar Interaction" means any real-time or asynchronous interaction between a User and Your AI Avatar on the Platform. Consent to Avatar Creation. You hereby grant StarCam the right to create, train, deploy, maintain, update, and improve an AI Avatar based on Your likeness, voice, and Content. This includes, without limitation, the use of video recordings, audio recordings, photographs, biographical information, speech patterns, and personality characteristics derived from Your Host Participation and any materials You upload to the Platform for the purpose of avatar training. Voice Synthesis Consent. You expressly acknowledge and consent that Your voice may be analyzed, modeled, and synthesized using artificial intelligence technologies, and that the resulting synthesized voice may be used in real-time interactive conversations with Users on the Platform through Your AI Avatar. Host Control of Avatar. You shall have the ability to: (a) activate or deactivate Your AI Avatar at any time through the Platform's management tools; (b) set availability hours during which Your AI Avatar may interact with Users; (c) customize Your AI Avatar's personality, greeting, and conversational boundaries; (d) designate topics or subject matter that Your AI Avatar shall not discuss; and (e) submit additional training materials at any time to improve or update Your AI Avatar. Avatar Interaction Revenue. Revenue generated through paid Avatar Interactions shall be subject to the same Host Income Distribution as live StarChat sessions, unless a different revenue share is specified in a separate agreement or schedule. The applicable Service Fees for Avatar Interactions may differ from those applied to live sessions and will be disclosed through the Platform's management tools. StarCam reserves the right to adjust Avatar Interaction pricing and revenue sharing from time to time per the Modification of Terms provision herein. Avatar Accuracy Disclaimer. You acknowledge that AI Avatars may occasionally produce responses that are inaccurate, unexpected, or inconsistent with Your views or personality. StarCam shall use commercially reasonable efforts to ensure the accuracy and quality of AI Avatar responses but does not guarantee that all Avatar responses will accurately reflect Your views, opinions, or personality. You agree that StarCam shall not be liable for any statements, representations, or responses generated by Your AI Avatar. Placeholder Avatars. StarCam may, at its sole discretion, create non-monetized demonstration AI Avatars ("Placeholder Avatars") from existing Content, including interview footage and recordings produced by StarCam. Placeholder Avatars are clearly identified as technology demonstrations, do not generate revenue, and do not represent or speak on behalf of the individual depicted. You may claim, upgrade, or request removal of a Placeholder Avatar associated with Your likeness at any time. Upon claiming a Placeholder Avatar, You may enhance it through the self-service avatar creation tools and elect to monetize Avatar Interactions. AI Training Data. StarCam may use Content You provide and data generated during Your Host Participation to train and improve Your AI Avatar. Training data may also be used, in anonymized and aggregated form, to improve StarCam's general avatar technology and Platform services. You may request deletion of Your avatar training data at any time, subject to the data retention provisions herein. Upon such request, StarCam shall delete Your avatar training data within thirty (30) days, except where retention is required by law or for the exercise of legal claims. HOST PARTICIPATION You are herein granted the right to establish and maintain a profile and participate on the Platform (Your StarCam Host profile and participation in the form of still images, video images, live video images, written and spoken words, sound recordings, AI Avatar interactions, and personal or commercial works shall be referred to, collectively, as "Host Participation"). StarCam may, at StarCam's sole discretion, revoke Your Host Participation right at any time and for any reason or for no reason without any liability to You other than accrued payments due You in accordance with the provisions set forth in this Addendum through the date of termination of Your Host Participation. StarChat(R) allows You to interact with Members in a patented format which is managed directly by You. The operational nature of the StarCam StarChat feature is such that You can initiate and manage a StarCam StarChat from any location using generally available computing devices with Internet access and a camera, including mobile phones, tablets, and computers. The content and frequency of Your Host Participation utilizing Platform interaction features, such as StarChat, shall be mutually agreed upon from time to time between You and StarCam. In the event that You maintain and control or have the right to direct any fan websites or other websites or social media accounts used for promoting You and Your activities, You agree to use commercially reasonable efforts to provide and maintain a link from all such related websites and social media accounts to the Platform effective as of the date You commence Your Host Participation and continuing for the duration of Your affiliation with StarCam. You shall conduct Yourself in an honest, professional, and socially responsible manner. You shall ensure that all Host Participation is in compliance with all applicable laws. StarCam reserves the right to deactivate any Host Participation without notice and without any liability, if, in StarCam's sole opinion, any part of the Host Participation is damaging to the reputation or business interests of StarCam, its affiliates, other StarCam Hosts, the Platform, any business partner of any of the foregoing, or is otherwise offensive, in bad taste or potentially harmful to StarCam's relationship with Users. THIRD-PARTY PLATFORM COMPLIANCE AND RESTREAMING The Platform may enable You to simultaneously broadcast or distribute Your StarChat sessions and other live events to third-party platforms and services, including but not limited to YouTube, Facebook, Instagram, TikTok, X (Twitter), and other social media or streaming platforms (each, a "Third-Party Platform," and collectively, "Third-Party Platforms"). You acknowledge and agree that: (a) You are solely responsible for complying with all terms of service, community guidelines, content policies, and other rules and requirements of each Third-Party Platform to which You broadcast or distribute content through the Platform (collectively, "Third-Party Terms"); (b) StarCam does not monitor, review, or verify Your compliance with any Third-Party Terms and has no obligation to do so; (c) StarCam is not a party to and has no control over the Third-Party Terms, which may change at any time without notice to StarCam; (d) You are solely responsible for maintaining valid, authorized accounts in good standing on all Third-Party Platforms to which You elect to broadcast or distribute content; (e) You are solely responsible for ensuring that the content of Your StarChat sessions and other live events complies with the Third-Party Terms of each platform to which such content is distributed, including but not limited to restrictions on copyrighted music, explicit content, hate speech, harassment, regulated goods, and any other content restrictions imposed by the applicable Third-Party Platform; (f) Any enforcement action taken by a Third-Party Platform against You or Your content, including but not limited to content removal, account suspension, demonetization, copyright strikes, community guideline strikes, or permanent bans, is solely between You and the applicable Third-Party Platform, and StarCam shall have no liability, responsibility, or obligation with respect thereto; (g) StarCam shall not be responsible for any loss of income, followers, audience, reputation, or other damages You may suffer as a result of any action or inaction by any Third-Party Platform; and (h) Any violation of Third-Party Terms that results in a claim, demand, complaint, or legal action against StarCam by any Third-Party Platform or any third party shall be subject to the indemnification provisions set forth in this Addendum. YOU HEREBY AGREE TO DEFEND, INDEMNIFY, HOLD HARMLESS, AND RELEASE STARCAM, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS FROM AND AGAINST ANY AND ALL CLAIMS, LIABILITIES, DAMAGES, LOSSES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES) ARISING OUT OF OR IN ANY WAY RELATED TO: (I) YOUR VIOLATION OF ANY THIRD-PARTY TERMS; (II) ANY CONTENT YOU BROADCAST OR DISTRIBUTE TO ANY THIRD-PARTY PLATFORM THROUGH THE PLATFORM; (III) ANY CLAIM BY ANY THIRD-PARTY PLATFORM, RIGHTS HOLDER, OR OTHER THIRD PARTY ARISING FROM YOUR USE OF THE RESTREAMING FEATURES; OR (IV) YOUR FAILURE TO OBTAIN ANY REQUIRED LICENSES, PERMISSIONS, OR AUTHORIZATIONS FROM ANY THIRD-PARTY PLATFORM OR RIGHTS HOLDER IN CONNECTION WITH YOUR USE OF THE RESTREAMING FEATURES. StarCam reserves the right, but has no obligation, to disable Your access to restreaming features at any time if StarCam determines, in its sole discretion, that Your use of such features poses a risk to StarCam, the Platform, or other StarCam Hosts. MODIFICATION OF THE TERMS StarCam reserves the right, at its discretion, to change, modify, add or delete provisions to this Addendum at any time and from time to time. Such changes, modifications, additions or deletions shall be effective upon notice sent to the email address You provided to StarCam upon the creation of Your StarCam Host account and/or the date notice is posted on the "Account Management" page in Your profile and/or notice provided through the Platform's mobile applications. The most current date of any material revisions to this Addendum will be identified at the beginning of this Addendum. If You are unwilling to abide by any changed or modified version of this Addendum, then Your sole option is to terminate immediately Your StarCam Host account with StarCam. If you wish to use Your StarCam Host account following the implementation of any changes or modification to this Addendum, then You will be required to accept the revised version of this Addendum. No changes or modifications to this Addendum shall apply to any dispute between You and StarCam that arose prior to the effective date of such change or modification. CONFIDENTIALITY THIS ADDENDUM IS "CONFIDENTIAL INFORMATION" OF STARCAM AS SUCH TERM IS DEFINED IMMEDIATELY BELOW, AND IS NOT FOR PUBLICATION, DISCLOSURE OR OTHER DISSEMINATION WITHOUT THE EXPRESS, PRIOR WRITTEN CONSENT OF STARCAM. For the purposes of this Addendum, "Confidential Information" means any non-public information, data, business processes, customer lists, potential hosts, revenue sharing or other provisions of Host Participation disclosed by StarCam to You in connection with Your participation as a StarCam Host, whether communicated in writing, electronically, by display, orally or by any other means, regardless of whether such information is identified as confidential. Confidential Information does not, however, include any information that: (a) was publicly known and made generally available in the public domain prior to the time of disclosure by StarCam; (b) becomes publicly known and made generally available after disclosure by StarCam to You through no action or inaction by You; (c) is already in Your possession at the time of disclosure by StarCam, as confirmed by Your files and records; (d) is obtained by You from a third party without a breach of the third party's obligations of confidentiality; or (e) is independently developed by You without use of or reference to StarCam's Confidential Information, as shown by documents and other competent evidence in Your possession. Except with the prior written consent of StarCam or as otherwise permitted in this Addendum, You agree not to use any Confidential Information in any manner except to evaluate, engage in discussions concerning, and participate as a StarCam Host or disclose the same to any third party other than: (a) to Your attorneys, accountants, and financial representatives under a duty of confidentiality as may be reasonably necessary in order to receive their professional advice; (b) to your business manager or other business advisors who have a need to know and have signed a non-disclosure agreement at least as protective as this Addendum to protect the confidential information of third parties; or (c) in connection with any legal, governmental or administrative proceeding pursuant to a validly issued order compelling production of this Addendum, provided that prior written notice of such intended disclosure under compulsion is furnished to StarCam in advance in order to afford StarCam a reasonable opportunity to seek a protective order, to the extent not otherwise prohibited by law. You shall use commercially reasonable efforts to protect the secrecy and avoid disclosure and unauthorized use of StarCam's Confidential Information, including at least those measures You (and Your authorized representatives) take to protect Your own confidential or sensitive information of like importance. You agree that the terms and conditions, but not the existence, of this Addendum shall be treated as StarCam's Confidential Information, and that no reference to the terms and conditions of this Addendum can be made in any manner without the prior written consent of StarCam except as provided for in this Addendum. You acknowledge that any violation or threatened violation of the confidentiality provisions of this Addendum may cause irreparable injury to StarCam, entitling StarCam to seek injunctive relief in addition to all other legal remedies available to it, whether in law or in equity. LICENSE GRANT; REPRESENTATIONS AND WARRANTIES You grant, and represent and warrant to StarCam that You have the right to grant, a perpetual, sublicenseable, assignable, royalty free license, including, where applicable, copyright and/or trademark licenses or sublicenses, giving StarCam the right to use, reproduce, publicly display, publicly perform, distribute, and make derivative works of any Content ("Content" meaning any material in any form, format, or media, whether now known or hereafter developed, posted by or on Your behalf on or through the Platform, including, but not limited to, all Host Participation materials), You upload to the Platform, without limitation, throughout the universe, whether in original form (i.e., as provided by You to StarCam) or in combination with any other Content, in StarCam's sole discretion. Derivative works include, without limitation, AI-generated avatars, voice models, digital representations, and any works created through machine learning, artificial intelligence, or similar technologies using Your Content as source or training data. You further grant StarCam a perpetual, sublicenseable, assignable, royalty free license to use Your name, image, likeness, biographical information, and Host Participation materials on the Platform and for any promotion of the Platform or StarCam, in any media or format, whether now known or hereafter developed, including, by way of example and not limitation, print, broadcast, online, mobile applications, AI-generated media, and interactive digital experiences, for so long as You maintain Your Host account and for a period of twelve (12) months thereafter. During such twelve (12) month post-termination period, StarCam shall deactivate any AI Avatar associated with Your account but may retain the trained avatar model and associated data for potential reactivation should You choose to reinstate Your account. To the extent permitted by applicable laws, You hereby waive any moral rights or rights of publicity or privacy you may have in any Content, including all Host Participation materials. Inherent in the grant of rights by You to StarCam is the issuance of any licenses or documentation required by any jurisdiction worldwide that may be needed for StarCam to exercise the rights granted herein, with any and all requirements of the governing laws and legal authorities having jurisdiction over said licenses or documentation, such as royalty free, pre-paid, sublicenseable, or any other requirements, fully satisfied. Notwithstanding the aforementioned, You agree that works created in connection with Your Host Participation which utilize StarChat and other Platform interaction features, including AI Avatar Interactions, shall be deemed "work made for hire" to the fullest extent permitted by law, including, without limitation, the copyright laws of the United States (as amended). StarCam shall own all right, title, and interest in such works and any derivative works thereof. To the extent ownership of any such works does not by operation of law vest in StarCam, You, on behalf of Yourself and Your agents, successors, and assigns, assign all right, title and interest in such works to StarCam. During and after the term of this Addendum, upon request by StarCam, You agree to execute formal assignments of intellectual property rights, for any and all such works and to obtain such formal assignments from any third parties that may, at any time assert rights in or to any portion of such works in order to assign all rights in such works to StarCam. To the extent any moral rights are not transferable or assignable, You, on behalf of Yourself and Your agents, successors, and assigns, hereby waive and agree never to assert any and all moral rights, or to support, maintain or permit any action based on any moral rights during and after the term of this Addendum. With respect to such works, You grant to StarCam the royalty free right to use Your name, biographical information, likeness, and recorded voice, whether original or AI-synthesized, in any and all media, now known or hereafter created, throughout the universe, in perpetuity. StarCam shall have the right, but not the obligation, to reproduce, distribute, publicly perform, (including by means of a digital audio transmission), publicly display, create derivative works of, and otherwise use and exploit such works in perpetuity, in any manner and by any means, whether now known or hereafter created, in StarCam's sole discretion, on a royalty free basis throughout the universe. CLEARANCE WITH RESPECT TO THIRD PARTY RIGHTS By uploading, posting or providing Content to the Platform, You further represent and warrant that no payments of any kind, including performance royalties for musical works (such as those payments payable to ASCAP, BMI or SESAC) or sound recordings, mechanical royalties, reproduction royalties, or any other royalties or payments are due to any entity, including, but not limited to, sound recording copyright owners/record labels, music publishers, song writers, featured recording artists, unions, guilds, performing rights organizations or any other entity, are required for or from the exploitation of the Content on the Platform anywhere in the universe. For the avoidance of doubt, and by way of example and not limitation, if You are a recording artist and the rights to Your master recordings are owned by a record label, it is your responsibility to obtain a fully paid up, sublicenseable, perpetual license from the label for the use of Your master recordings on the Platform and to clear all music publishing rights (e.g., performance, mechanical, synchronization) for the use of the musical work embodied in the master recording. REPORTING AND PAYMENT BY STARCAM StarCam shall provide a statement via email and electronically tender the accrued income due to You, if any, to the extent such accrued income is equal to or greater than fifty dollars ($50.00 U.S.) (the "Minimum Balance"), for each calendar month that you are a participating StarCam Host, within fifteen (15) business days following the end of each month. Payments shall be made via direct deposit or wire transfer per account information supplied by You or by other mutually agreed upon method. Account balances less than the Minimum Balance will be rolled over to subsequent months until a Minimum Balance is achieved and paid out. StarCam may adjust monthly Host Income for applicable Member chargebacks. For purposes of this section, "chargeback" means the reversal by a Member/cardholder of any approved credit card or in-app purchase made by a Member for the purpose of participating with You in StarCam Host Participation features. If the Host Participation You engage in does not have a StarCam accessed Service Fee, You are solely responsible for any fees charged by Your bank or financial institution for the receipt of an electronic funds transfer, and the payment tendered to You by StarCam will be reduced by any such fees. In the event this Addendum is terminated for any reason, StarCam shall remit all income due to You that has accrued through such date of termination on the next payment cycle regardless of whether Your accrued balance is less than the Minimum Balance. You hereby authorize StarCam to withhold payment of accrued Host Income pending StarCam's receipt of any unpaid Merchandising Commissions due StarCam, as defined below. REMOVAL OF CONTENT You may remove any Content You post to the Platform at any time and deny Users of the Platform access to that Content; provided, however, that StarCam may retain backup copies of such Content on any media utilized by StarCam for retention and backup purposes in the ordinary course of business in perpetuity. Removal of Content does not automatically deactivate or delete Your AI Avatar; to request deletion of Your AI Avatar and associated training data, You must submit a separate request through the Platform's management tools or by contacting StarCam directly. OWNERSHIP OF MATERIALS ON PLATFORM You acknowledge that StarCam is the sole owner of all StarCam Materials, and that such StarCam Materials are protected by United States copyright, trade dress, patent, and trademark laws, international conventions, and all other relevant intellectual property and proprietary rights, and applicable laws. StarCam Materials include, without limitation, all AI Avatar technology, algorithms, models, and platform infrastructure, but do not include Content You, other Hosts or Users upload to the Platform or materials licensed to StarCam by third parties ("Third-Party Materials"). You acknowledge that such Third-Party Materials may be protected by United States copyright, trade dress, patent, and trademark laws, international conventions, and all other relevant intellectual property and proprietary rights, and applicable laws. You agree not to infringe or reproduce, display, distribute, create derivative works from or disseminate any part of the Platform, the StarCam Materials or Third-Party Materials without StarCam's or the relevant third party's prior written consent. EXCLUSIVITY During the term of Your participation on the Platform and for a period of one year following the termination of Your participation for any reason, You shall not render similar services to any person, firm or entity which is a direct competitor of StarCam and shall not otherwise participate in similar commercial video chats or AI-generated avatar interactions for any other person, firm or entity. For the avoidance of doubt, "similar services" includes the creation, training, or deployment of AI-generated avatars, digital replicas, or interactive digital representations of Your likeness on any competing platform. The terms of this exclusivity provision shall not apply in the event that You have provided professional services to a third party in connection with a film, television program, commercial endorsement or other entertainment or commercial venture (provided that the third party is not a direct competitor of StarCam) and the production company, firm, person or other entity which has engaged Your professional services requires You to participate in similar internet chat/conferences or digital experiences for the purpose of promoting the film, program, product or venture. You do, however, agree to use reasonable efforts to encourage any such third party to engage the services of StarCam to host and provide its technology for any such internet chat/conference or digital experience. U.S. EXPORT CONTROLS In addition to the U.S. Export Control provisions of the Terms, You agree that You shall not knowingly engage in any Host Participation with any person, entity or government subject to U.S. export control laws and regulations. LIMITATION OF LIABILITY, INDEMNIFICATION, INSURANCE, AND SECURITY STARCAM ENDEAVORS AND MAKES REASONABLE EFFORTS TO PROVIDE A SAFE INTERNET ENVIRONMENT. HOWEVER, YOU USE THE PLATFORM AT YOUR OWN RISK. THE PLATFORM IS PROVIDED ON AN "AS IS," "AS AVAILABLE," "WITH ALL FAULTS" BASIS, WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. STARCAM DOES NOT GUARANTEE THAT THE PLATFORM WILL BE SAFE OR SECURE. STARCAM IS NOT RESPONSIBLE FOR THE ACTIONS OR CONTENT OF THIRD PARTIES, AND YOU RELEASE STARCAM, ITS AFFILIATES AND SUCCESSORS, AND ITS AND THEIR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND ASSIGNS FROM ANY AND ALL CLAIMS AND DAMAGES, KNOWN AND UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH ANY CLAIM YOU MAY HAVE AGAINST ANY SUCH THIRD PARTIES. IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE SECTION 1542, WHICH SAYS, "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY." STARCAM WILL NOT BE LIABLE TO YOU OR ANY OF YOUR HEIRS, AGENTS OR ASSIGNS, FOR ANY LOST PROFITS OR OTHER CONSEQUENTIAL, SPECIAL, DIRECT, INDIRECT, OR INCIDENTAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS STATEMENT OR YOUR USE OF THE PLATFORM, EVEN IF STARCAM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. STARCAM'S AGGREGATE LIABILITY ARISING OUT OF THIS STATEMENT OR YOUR USE OF THE PLATFORM SHALL BE LIMITED TO THE REVENUE, IF ANY, PREVIOUSLY EARNED BY YOU DURING THE SIX (6) MONTHS PRIOR TO ANY CLAIM BROUGHT BY YOU AGAINST STARCAM. WITHOUT LIMITING THE FOREGOING, STARCAM SHALL NOT BE LIABLE FOR ANY STATEMENTS, REPRESENTATIONS, OR RESPONSES GENERATED BY YOUR AI AVATAR OR ANY AI AVATAR ON THE PLATFORM, INCLUDING BUT NOT LIMITED TO INACCURATE, MISLEADING, OR OFFENSIVE CONTENT PRODUCED BY ARTIFICIAL INTELLIGENCE TECHNOLOGIES. YOU AND STARCAM EACH ACKNOWLEDGE THAT THE LIMITATIONS AND EXCLUSIONS CONTAINED IN THIS SECTION AND ELSEWHERE IN THIS ADDENDUM REPRESENT YOUR AND STARCAM'S AGREEMENT BASED UPON THE PERCEIVED LEVEL OF RISK TO YOU AND STARCAM ASSOCIATED WITH OUR RESPECTIVE OBLIGATIONS UNDER THIS ADDENDUM AND THE MAGNITUDE OF POTENTIAL PAYMENTS TO BE MADE TO EACH PARTY UNDER THIS ADDENDUM. YOU UNDERSTAND THAT STARCAM COULD NOT OFFER ITS SERVICES OR THE PLATFORM WITHOUT THE LIMITATION OF LIABILITY SET FORTH IN THIS ADDENDUM. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, YOU AND STARCAM ACKNOWLEDGE AND AGREE THAT (1) THE PROVISIONS HEREOF THAT LIMIT LIABILITY, DISCLAIM WARRANTIES, OR EXCLUDE CONSEQUENTIAL DAMAGES OR OTHER DAMAGES OR REMEDIES WILL BE SEVERABLE AND INDEPENDENT OF ANY OTHER PROVISIONS AND WILL BE ENFORCED AS SUCH, REGARDLESS OF ANY BREACH OR OTHER OCCURRENCE, AND (2) ALL LIMITATIONS OF LIABILITY, DISCLAIMERS OF WARRANTIES, AND EXCLUSIONS OF CONSEQUENTIAL DAMAGES OR OTHER DAMAGES OR REMEDIES WILL REMAIN FULLY VALID, EFFECTIVE AND ENFORCEABLE TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW IN ACCORDANCE WITH THEIR RESPECTIVE TERMS, EVEN UNDER CIRCUMSTANCES THAT CAUSE ANY EXCLUSIVE REMEDY UNDER THIS ADDENDUM TO FAIL OF ITS ESSENTIAL PURPOSE. YOU, ON BEHALF OF YOURSELF AND ANY OF YOUR SUCCESSORS AND ASSIGNS, HEREBY AGREE TO DEFEND, INDEMNIFY, HOLD HARMLESS, AND RELEASE STARCAM, ITS AFFILIATES AND SUCCESSORS, AND ITS AND THEIR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND ASSIGNS FROM ANY AND ALL CLAIMS THAT ARE OR MAY BE AFFECTED BY THE GRANTING OR LICENSING OF THE RIGHTS SET FORTH IN THIS ADDENDUM, INCLUDING BUT NOT LIMITED TO, CLAIMS FOR INVASION OF PRIVACY, APPROPRIATION OF NAME OR LIKENESS, COPYRIGHT INFRINGEMENT, TRADEMARK INFRINGEMENT, AND CLAIMS ARISING FROM AI-GENERATED CONTENT OR AI AVATAR INTERACTIONS. YOU ACKNOWLEDGE THAT YOUR HOST PARTICIPATION IS AT YOUR OWN RISK. STARCAM DOES NOT VERIFY A MEMBER'S OR USER'S AGE OR CONDUCT INDIVIDUAL OR CRIMINAL BACKGROUND CHECKS ON ITS MEMBERS AND USERS. STARCAM MAKES NO WARRANTIES, EITHER EXPRESS OR IMPLIED, THAT THE INFORMATION CONTAINED WITHIN ANY MEMBER'S PROFILE IS TRUTHFUL OR ACCURATE. CONSEQUENTLY, STARCAM EXPRESSLY WARNS YOU THAT MEMBERS AND USERS MAY SUPPLY FALSE OR MISLEADING INFORMATION AND, THEREFORE, YOU MAY BE EXPOSED TO UNDESIRABLE CIRCUMSTANCES AS A RESULT OF YOUR HOST PARTICIPATION. THEREFORE, YOU AGREE FOR YOURSELF AND YOUR AGENTS, REPRESENTATIVES, HEIRS, ASSIGNS, AND OTHERS, TO INDEMNIFY, DEFEND, AND HOLD HARMLESS STARCAM, AND ITS AFFILIATES AND SUCCESSORS, AND ITS AND THEIR EMPLOYEES, OFFICERS, DIRECTORS, REPRESENTATIVES, AND ASSIGNS FROM ANY AND ALL DIRECT, INDIRECT, EXEMPLARY, SPECIAL, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING REASONABLE ATTORNEY'S FEES, THAT MAY BE INCURRED AS A DIRECT OR INDIRECT RESULT OF YOUR HOST PARTICIPATION. ANY AND ALL COSTS INCURRED BY OR ON YOUR BEHALF FOR INSURANCE OR SECURITY ARRANGEMENTS REQUIRED TO PROTECT YOU, YOUR FAMILY OR ASSOCIATES FROM ANY THREAT OR LOSS OR TO PROVIDE ADEQUATE PROTECTION NECESSITATED BY YOUR HOST PARTICIPATION IS YOUR SOLE RESPONSIBILITY. DISPUTE RESOLUTION AND BINDING ARBITRATION PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT. Agreement to Arbitrate. You and StarCam agree that any dispute, claim, or controversy arising out of or relating to this Addendum, Your Host Participation, or the Platform (collectively, "Disputes") will be resolved exclusively through final and binding arbitration, rather than in court, except that either party may bring individual claims in small claims court if the claims qualify. This arbitration agreement is governed by the Federal Arbitration Act, 9 U.S.C. Sections 1-16 ("FAA"), and federal arbitration law, and not by any state arbitration law. Arbitration Rules and Forum. Arbitration will be conducted by JAMS under its Comprehensive Arbitration Rules and Procedures then in effect, as modified by this section. The arbitration shall be held in Los Angeles County, California, unless You and StarCam agree otherwise. If JAMS is unavailable, the parties shall agree on an alternative arbitration forum; if they cannot agree, they shall petition a court of competent jurisdiction to appoint an arbitrator. Arbitration Fees. Each party shall bear its own costs in any arbitration proceeding, except as otherwise required by applicable law or as ordered by the arbitrator. If the arbitrator finds that either the substance of Your claim or the relief sought is frivolous or brought for an improper purpose, then the payment of all fees will be governed by the JAMS Rules and the arbitrator may award the other party its reasonable attorneys' fees and costs. Class Action Waiver. YOU AND STARCAM AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. IF THIS CLASS ACTION WAIVER IS FOUND TO BE UNENFORCEABLE, THEN THE ENTIRETY OF THIS ARBITRATION PROVISION SHALL BE NULL AND VOID, AND THE DISPUTE SHALL PROCEED IN COURT. Jury Trial Waiver. IF FOR ANY REASON A DISPUTE PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU AND STARCAM EACH IRREVOCABLY WAIVE ANY RIGHT TO A JURY TRIAL. Opt-Out. You may opt out of this arbitration provision by sending written notice to StarCam at legal@starcam.com within thirty (30) days of first accepting this Addendum. The notice must include Your name, mailing address, and a clear statement that You wish to opt out of this arbitration provision. If You opt out, all other provisions of this Addendum will continue to apply. Survival. This arbitration provision shall survive termination of this Addendum and Your Host account. TERMINATION AND AI AVATAR DISPOSITION Upon termination of this Addendum or Your Host account for any reason: (a) all live Host Participation features shall be immediately deactivated; (b) Your AI Avatar shall be deactivated and made inaccessible to Users within a commercially reasonable timeframe, not to exceed seven (7) days; (c) StarCam shall retain Your AI Avatar model and training data for a period of twelve (12) months following termination, during which time You may reinstate Your account and reactivate Your AI Avatar; (d) after such twelve (12) month period, StarCam shall delete Your AI Avatar model and training data unless retention is required by law; and (e) notwithstanding the foregoing, works created during Your Host Participation that constitute "work made for hire" as defined herein shall remain the property of StarCam in perpetuity. You may request immediate deletion of Your AI Avatar and all associated training data at any time by submitting a written request through the Platform or by contacting StarCam directly. Upon receipt of such request, StarCam shall complete deletion within thirty (30) days, except where retention is required by law or for the exercise of legal claims. In the event of Your death, Your authorized estate representative may request deactivation and deletion of Your AI Avatar by providing proof of authority and a written request to StarCam. StarCam shall comply with such request within thirty (30) days. In the absence of such a request, StarCam shall deactivate (but not delete) Your AI Avatar upon receiving notice of Your death. GENERAL PROVISIONS Governing Law. This Addendum shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions, except to the extent preempted by federal law (including the FAA). To the extent any Dispute is not subject to arbitration, You and StarCam consent to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California. Entire Agreement. This Addendum, together with the Terms, the Privacy Policy, and any other agreements expressly incorporated by reference herein, constitutes the entire agreement between You and StarCam with respect to the subject matter hereof and supersedes all prior agreements, understandings, representations, and warranties, both written and oral, with respect to the subject matter hereof. Severability. If any provision of this Addendum is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent of the parties. No Waiver. The failure of StarCam to exercise or enforce any right or provision of this Addendum shall not constitute a waiver of such right or provision. Any waiver of any provision of this Addendum will be effective only if in writing and signed by StarCam. Assignment. You may not assign or transfer this Addendum, or any rights or obligations hereunder, without the prior written consent of StarCam. StarCam may assign or transfer this Addendum, in whole or in part, without restriction. Subject to the foregoing, this Addendum will bind and inure to the benefit of the parties, their successors, and permitted assigns. Force Majeure. StarCam shall not be liable for any failure or delay in performing its obligations under this Addendum where such failure or delay results from any cause that is beyond the reasonable control of StarCam, including but not limited to acts of God, natural disasters, pandemic, epidemic, government actions, war, terrorism, cyberattack, power failure, Internet or telecommunications failure, or failure of any third-party service provider. Electronic Communications. By creating an account on the Platform, You consent to receive electronic communications from StarCam (e.g., via email, push notification, or Platform messaging). You agree that all agreements, notices, disclosures, and other communications that StarCam provides electronically satisfy any legal requirement that such communications be in writing. Notices. All notices to StarCam under this Addendum shall be sent to: StarCam, Inc., Attn: Legal Department, via email at legal@starcam.com. Notices to You shall be sent to the email address associated with Your Host account or through the Platform. No Third-Party Beneficiaries. This Addendum does not confer any rights, remedies, or benefits upon any person or entity other than the parties hereto and their respective successors and permitted assigns. SURVIVAL The rights herein assigned or licensed by You to StarCam that are intended to survive the termination of Your status as a StarCam Host and all releases granted by You to StarCam, shall survive termination of the Terms and this Addendum, including, but not limited to, this survival provision, the limitations of liability, all indemnifications, the arbitration and class action waiver provisions, the confidentiality provisions, and StarCam's ownership of works made for hire created during Your Host Participation.
